These Terms of Service ("Terms") govern access to and use of websites, products, and services operated by Crofts Hill Holdings LLC, doing business as StratumCXI ("StratumCXI", "we", "us", or "our"), including StrataIQ Lens, the StrataIQ platform (including Capture Core and related modules), and stratumcxi.com. By accessing or using our services, you agree to these Terms.
1. Who we are
Crofts Hill Holdings LLC is a Florida limited liability company. Brand: StratumCXI. Products: StrataIQ Lens (free browser extension) and StrataIQ (SaaS platform and modules). We offer services globally; governing law is set out in Section 13.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for account credentials, activity under your account, and accurate registration information. Notify us promptly of unauthorized use at support@stratumcxi.com.
3. Services
3.1 StrataIQ Lens
Lens generates on-demand Website Health Reports in your browser for sites you choose to scan. Full-report delivery may require submitting contact details. Lens is free of charge; features may change. Analysis is client-side unless you opt in to email delivery.
3.2 StrataIQ platform
Plans (e.g. Capture Core Free / Growth / Scale / Enterprise and module add-ons or standalone modules) are described on our pricing pages. Free tiers may have usage limits. We may update features, quotas, and documentation; material plan changes for paid customers will be communicated in advance where required.
4. Acceptable use
You agree not to:
- Violate law, third-party rights, or these Terms
- Probe, scrape, or overload our infrastructure beyond normal product use
- Circumvent authentication, quotas, or security controls
- Use Lens or StrataIQ to collect personal data unlawfully from third-party sites
- Misrepresent affiliation with StratumCXI or reverse-engineer except as allowed by law
- Resell or white-label our services without a written agreement
We may suspend or terminate access for violations or risk to the service or other users.
5. Customer data and privacy
Our Privacy Policy and Cookie & Storage Policy explain how we collect and use personal data as a controller (including StrataIQ Lens). For StrataIQ platform customers, you retain ownership of data you submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the service. Where we process Personal Data in Customer Data on your behalf, our Data Processing Addendum applies. You are responsible for lawful collection and use of Customer Data and for configuring Destinations you connect.
6. Fees, billing, and taxes
Paid subscriptions are billed in advance according to the plan you select. Payment is processed by Stripe, Inc. Prices are exclusive of applicable taxes unless stated otherwise. Failed payments may result in suspension. Enterprise and custom contracts may include different commercial terms that control if they conflict with these Terms.
You may cancel paid subscriptions at any time; access continues through the end of the paid period. Cash refunds are limited to standalone modules as described in our Refund & Cancellation Policy.
7. Intellectual property
StratumCXI, StrataIQ, StrataIQ Lens, and related marks, software, documentation, and design systems are owned by us or our licensors. Except for the limited rights to use the service under your plan, no IP rights are transferred. Feedback you provide may be used without obligation to you.
8. Third-party services and Destinations
Integrations (analytics Destinations, email, CRM, payment processors, hosting) are subject to those providers' terms. We are not responsible for third-party outages, policy changes, or data handling outside our control once data leaves our systems per your configuration.
9. Disclaimers
Services are provided "as is" and "as available." Website Health Reports, scores, and detections are informational estimates based on client-side signals and published methodology — not guarantees of SEO ranking, conversion outcomes, security posture, or compliance. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, StratumCXI and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of these Terms or the services in any twelve-month period will not exceed the amounts you paid us for the services in that period (or USD $100 if you use only free services).
11. Indemnity
You will defend and indemnify StratumCXI against claims arising from your Customer Data, your use of the services in violation of law or these Terms, or your Destinations and third-party integrations.
12. Term and termination
These Terms apply while you use the services. You may stop using free services at any time and cancel paid subscriptions per the Refund & Cancellation Policy. We may terminate or suspend for breach, legal risk, or discontinuation of a product (with reasonable notice for paid plans when practicable). Sections that by nature should survive (including IP, disclaimers, liability limits, and indemnity) survive termination.
13. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Florida, unless a written enterprise agreement provides otherwise. Mandatory consumer protections in your country of residence that cannot be waived by contract remain unaffected where applicable.
14. Changes
We may update these Terms by posting a revised version with a new "Last updated" date. Material changes affecting paid customers will be communicated via the account email or in-product notice where practicable. Continued use after the effective date constitutes acceptance.
